To the maximum extent permitted by applicable law, the Company and its affiliates, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising out of or related to your use of or inability to use the Service.

In no event shall the Company's total aggregate liability to you for all claims arising out of or relating to these Terms or the Service exceed the greater of the amount you paid to the Company in the twelve months preceding the claim or one hundred United States dollars (USD 100).

You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your violation of these Terms.
• Your violation of any third-party rights, including intellectual property or privacy rights.

13.1 Termination by You

You may terminate your account and discontinue use of the Service at any time by following the account closure procedures available within the Service or by contacting the Company directly.

13.2 Termination by the Company

The Company reserves the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination may include, but are not limited to, violation of these Terms, non-payment of fees, or conduct that the Company determines to be harmful to the Service or other users.

13.3 Effect of Termination

Upon termination, your right to access and use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall continue to apply, including sections relating to intellectual property, disclaimers, limitation of liability, and indemnification.

In the event of any dispute arising out of or relating to these Terms or the Service, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty days, either party may pursue resolution through binding arbitration or through the courts of competent jurisdiction, as applicable under local law.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class action or representative proceeding.

The Company reserves the right to update or modify these Terms at any time. When changes are made, the updated Terms will be published with a revised "Last updated" date. If changes are material, the Company will make reasonable efforts to notify you through the Service or via the contact information associated with your account.

Your continued use of the Service following the posting of updated Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must discontinue use of the Service.

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16.3 Waiver

The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of the Company. The Company may assign its rights and obligations without restriction.

16.5 Force Majeure

The Company shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, network failures, government actions, or other events of force majeure.
